Your $500K decision deservesbetter than ChatGPT.

Model the tender. See the AMT. Understand the QSBS clock. A Monte Carlo over your grant — not a generic retirement projector.

WHY NOW

Three things changed at once.

Every line of Foregrant exists because a tax law, a liquidity pattern, and a tooling gap all moved in the last 18 months. We're not betting on a trend. We're catching up to one that already happened.

REGULATORY01

QSBS just doubled.

The OBBB Act (signed July 2025) raised the per-issuer QSBS exclusion to $15M and shortened the holding-period ramp — 50% at 3 years, 75% at 4, 100% at 5. Every founder hired before the change has a different optimal sell schedule than they did 12 months ago. Most don't know it.

MARKET02

Tenders are the new IPO.

Stripe, Databricks, OpenAI, Anthropic, SpaceX — the largest private companies now run structured secondaries every 12–24 months. The decision isn't binary anymore; it's "what fraction, at what price, with what AMT footprint." Spreadsheets weren't built for that.

TECHNOLOGY03

GPT confidently lies about taxes.

A general-purpose LLM will cite a repealed regulation, miss the AMT crossover by $40K, or confuse ISO with NSO treatment — and present it with the same fluency. Founders are using it anyway, because the alternative is a $400 CPA call. We built the thing they're reaching for, with the math actually wired up.

HOW IT WORKS

Three steps. Six minutes. One decision.

No onboarding wizard. No "set up your financial profile." Paste, model, read.

MEDIAN TIME-TO-RESULT · 5M 42S
STEP 01

Paste your grant.

CSV from Carta, a screenshot of your grant letter, or just type it. ISOs, NSOs, RSUs, double-trigger, performance grants — all parsed.

STEP 02

We model 10,000 paths.

Monte Carlo over your strike, vesting schedule, and assumed exit distribution. Tax engine wired through AMT, QSBS, NIIT, state.

STEP 03

GPT explains the result.

A plain-English decision card. Specific quantity, specific date, specific tax footprint. Citations to the math, not vibes.

WHAT'S IN IT

Six things spreadsheets won't do.

Every feature is a thing a tech worker has paid a CPA to figure out. Now it's an input field.

6 PRIMITIVES · COMPOSED INTO YOUR SCENARIO
VESTING01

Multi-grant RSU live ticker.

Every grant, every refresh, every double-trigger — vesting in real time against today's 409A or last-round mark.

TAX02

ISO/AMT crossover ladder.

Watch the AMT line creep up as you exercise. The model tells you the exact share count where the crossover hits.

TAX03

QSBS dual-block tracker.

OBBBA-aware. Tracks pre-July-2025 and post-July-2025 stock under separate clocks and exclusion caps. Stacks correctly.

EVENT04

Tender decision simulator.

Sell 0%, 25%, 50%, 100% — see post-tax dollars, retained upside, and AMT footprint side-by-side. Save the result.

NUDGE05

Post-vest tax-surprise emails.

Every quarterly vest gets a single email: here's your withholding gap, here's what you'll owe in April. No spam.

COMPARE06

“Should I take this offer?” comparator.

Drop in a competing offer. Foregrant runs the same Monte Carlo on both and gives you a TC distribution, not a single point.

Is this financial advice?

No. Foregrant is a calculator and a visualizer. It runs the math on the inputs you give it. It does not know your risk tolerance, your spouse's income, your medical situation, or your tax domicile in three years. For decisions over $250K we recommend running Foregrant first, then taking the result to a fiduciary CFP or tax attorney.

How is this different from ProjectionLab?

ProjectionLab is excellent for general FIRE planning — Social Security, pensions, 4% rule, retirement spend-down. We focus specifically on equity comp: AMT crossover, QSBS clocks, tender modeling, multi-grant vesting. They punted on RSU vesting for four years because it's hard. We started there.

Why $499 for lifetime?

Roughly half ProjectionLab's $1,199. Locked for first 100 users to get this off the ground; price goes to $999 after that. Lifetime means lifetime — every future feature, every tax-engine update, no per-year fee.

Will you connect to my brokerage?

Not at MVP. Manual entry and CSV upload only. We don't see your account credentials, we don't hold an OAuth token, we don't sit in the path of your money. If broker integration ships, it'll be read-only and explicit.

What countries do you support?

United States only at MVP — federal + all 50 state tax engines. UK, Canada, and Germany are on the roadmap; we won't ship them until the math is as careful as the US engine.

Will you use AI?

Yes, but only as a layer on deterministic math. The Monte Carlo, the tax engine, the QSBS tracker — all hand-coded, unit-tested, open to inspection. AI explains your numbers in plain English and answers follow-up questions. It does not make the decisions.

What if the OBBBA QSBS rules change again?

Tax engine updates ship within 30 days of any IRS guidance change or new tax law. Lifetime users get them free. Pro users get them on their next monthly cycle. We publish a changelog so you can verify the math against the source.

Can I get a refund?

30 days, no questions, full refund. Email and you get it back. We'd rather have you not paying than have you resenting us.
FROM THE BUILDER

I'm building this in public.

I'm one person. Solo developer, no team, no investor pressure to pivot to enterprise. Not a financial advisor — I'm a software engineer who got tired of watching friends paste tender offers into Blind asking strangers if they should sell.

ProjectionLab — the best general-purpose financial planner I know — punted on RSU vesting for four years because the edge cases compound. Compound (the company) tried this same problem with $37M in funding and pivoted to becoming a registered investment advisor instead. Both moves are rational. Neither leaves a tool behind for the engineer at a Series C company who just wants to know whether to sell into the tender.

So Foregrant is software-only. Hard regulatory guardrails, no specific securities advice, no holding your money. A calculator and a visualizer with the math actually wired up — AMT crossover, QSBS clocks, multi-grant vesting, the works. GPT layered on top to explain the result in plain English.

The first 100 lifetime users get $499 forever. After that it goes to $999. I'm not running a fake-scarcity countdown — / 100 have been claimed so far. When the number hits 100 the price changes and stays changed.

If this resonates, the waitlist is at the top of this page. If you have an objection I haven't addressed, my email is below. I read every one.
